Terms of service

These terms are an agreement between Audax Marketing ("we", "us") and each business that installs ShopLynk on its Shopify store ("you"). By installing ShopLynk, or by accepting these terms in the app, you agree to them on behalf of your business. Our privacy policy explains how we handle information.

1. What ShopLynk does

ShopLynk connects a supplier's Shopify store with retailers the supplier approves. Retailers add the supplier's products to their own stores; ShopLynk keeps stock in step, sends each retailer order for those products to the supplier as a wholesale order, returns tracking, and builds weekly statements.

ShopLynk is software. We don't buy, sell or ship products, and we don't take or hold payments. Each sale of goods is between the supplier and the retailer, on the supplier's terms, and each retail sale is between the retailer and its customer.

2. Fees

ShopLynk is free for retailers. If we ever charge suppliers for ShopLynk, we'll give notice first and bill through Shopify.

3. Using ShopLynk as a retailer

• A supplier decides whether to approve you, and can suspend or end its link with you at any time.
• You set your own selling prices. The supplier sets what you pay it, through its catalog for you, and the payment terms.
• You pay the supplier for each order it fulfills on its payment terms, from the statements ShopLynk builds. Payment goes directly to the supplier, not through ShopLynk.
• You're responsible for your store, your customers, customer service, and charging and remitting tax on your sales.
• Returns and damaged or missing items are handled between you and the supplier, under the supplier's policy.
• You may use the supplier's product names, descriptions and images only to sell its products while your link with it is active.
• If you share your customers' shipping details with the supplier (the "Use customer's shipping info" setting), you confirm that your own privacy notice allows it.

4. Using ShopLynk as a supplier

• Keep your product information, prices and stock accurate, and fulfill orders you accept.
• Use a retailer's business details and its customers' details only to process, ship and support that retailer's orders.
• You're responsible for your payment terms, invoicing, and tax on your sales to retailers.

5. Your responsibilities

• Follow Shopify's terms and the laws that apply to your business, including privacy and consumer protection laws.
• Keep access to your Shopify admin secure. Actions taken through your store are yours.
• Don't misuse ShopLynk: no attempts to reach other stores' data, disrupt the service, or reverse engineer it.

6. Your data

Your store data stays yours. You let us use it only to run ShopLynk for you and the stores you're linked with, as described in our privacy policy. Uninstalling ShopLynk stops syncing, and we delete your data 48 hours later.

7. Availability and changes

We work to keep ShopLynk running, but we don't promise it will always be available or error-free. Shopify changes, outages and maintenance can delay syncing or orders. We may change or stop features; for significant changes we'll tell you in the app first.

8. Ending use

You can stop using ShopLynk at any time by uninstalling it. We may suspend or end your access if you break these terms or put other stores at risk. Orders already sent to a supplier are still between you and that supplier.

9. Disclaimers and liability

ShopLynk is provided "as is". To the extent the law allows, we aren't liable for indirect or consequential losses, lost profits or lost sales, or for the products, prices, payments or conduct of suppliers, retailers or their customers. Our total liability for any claim about ShopLynk is limited to the greater of what you paid us for it in the 12 months before the claim and US$100.

You'll cover our reasonable costs from claims caused by your products, your store, or your breach of these terms.

10. Changes to these terms

We may update these terms. We'll post the new version here with a new date and, for a significant change, ask you to accept it in the app. Continuing to use ShopLynk after that means you accept it.

11. Governing law

These terms are governed by the laws of the Province of British Columbia.
